RadioRaves Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Necessitie, a Wyoming corporation ("RadioRaves," "we," "us," or "our"), governing your access to and use of the RadioRaves website, applications, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service, you represent that you meet these requirements and have the legal capacity to enter into this agreement.

3. The Service

RadioRaves lets users upload music tracks, run automated audio-processing tools (including AI-based "stem separation," which splits a track into component parts such as vocals, drums, bass, and other instrumentation), and use the resulting stems — along with stems from tracks other users have made available — to create new mixes and mashups ("User Mashups"). Some users may publish their own original tracks specifically to make them available for other users to remix ("Published Tracks").

4. Accounts

You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at anthonychimiak@gmail.com of any unauthorized use. We are not liable for loss arising from your failure to safeguard your account.

5. User Content License Grant — [LAWYER REVIEW]

5.1 Ownership

You retain all ownership rights you have in the audio tracks, artwork, and other content you upload to the Service ("Your Content"). RadioRaves does not claim ownership of Your Content.

5.2 License You Grant to RadioRaves

By uploading Your Content to the Service, you grant RadioRaves a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, distribute, publicly perform, publicly display, and stream Your Content, and to create derivative works from Your Content, in each case solely in connection with operating, providing, promoting, and improving the Service. This license specifically includes the right for RadioRaves to run automated audio-processing tools (including AI-based stem separation) on Your Content, which produces new derivative audio files ("Generated Stems"), and to host, store, and make Generated Stems available to you and, where applicable under Section 5.3, to other users.

5.3 Additional License for Published Tracks (Sublicense to Other Users)

If you designate a track as a "Published Track" or otherwise use a feature that makes your track or its Generated Stems available to other users for remixing, you additionally grant RadioRaves the right to sublicense to other users of the Service a non-exclusive, worldwide, royalty-free license to access, use, reproduce, and create derivative works from Your Content and its Generated Stems, solely for the purpose of creating, storing, and (if you have enabled it) sharing User Mashups within the Service. You may withdraw a Published Track from availability at any time going forward, but you acknowledge that User Mashups already created by other users using Your Content before withdrawal may continue to exist and be used as permitted at the time they were created, unless we determine removal is required (e.g., in response to a valid legal notice).

5.4 Scope and Duration

The licenses in this Section 5 are limited to what is reasonably necessary to operate the Service as described in Section 3. The license continues for as long as Your Content remains on the Service, and, as to copies made or User Mashups created before removal, for as long as reasonably necessary to reflect that use. Nothing in this Section grants RadioRaves or other users any right to use Your Content outside the Service or for purposes unrelated to operating the Service (e.g., we do not sell Your Content to third parties for their independent commercial use).

6. Your Representations and Warranties

By uploading any content to the Service, you represent and warrant that: (a) you own all right, title, and interest in the content, or you have obtained all necessary rights, licenses, consents, and permissions (including from any co-writers, performers, sample owners, or rights holders) to upload the content and to grant the licenses in Section 5; (b) your content, and RadioRaves's and other users' permitted use of it as described in these Terms, does not and will not infringe, misappropriate, or violate any third party's copyright, trademark, right of publicity, privacy right, or other proprietary or legal right; and (c) your content complies with Section 7 below.

7. Acceptable Use and Prohibited Conduct

You agree not to: (a) upload content you do not have the rights to upload; (b) use the Service to infringe any copyright or other intellectual property right; (c) upload unlawful, defamatory, obscene, or harassing content; (d) attempt to reverse-engineer, scrape, or interfere with the Service's operation or security; (e) use the Service to distribute malware or spam; (f) impersonate any person or entity; (g) circumvent any content-protection or access-control measures; or (h) use the Service in any manner that violates applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless RadioRaves, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) Your Content; (b) your breach of any representation or warranty in Section 6; (c) your use of the Service in violation of these Terms; or (d) your violation of any third party's rights, including intellectual property rights.

9. Copyright / DMCA

RadioRaves responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act. See our DMCA / Copyright Policy for the full procedure, including our designated agent's contact information.

10. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for conduct we believe violates these Terms, is harmful to other users, RadioRaves, or third parties, or for any other reason at our discretion, including as required by our repeat-infringer policy described in our DMCA / Copyright Policy. You may stop using the Service and delete your account at any time. Sections 5.4, 6, 8, 9, 11, 12, and 13 survive termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, INCLUDING WITH RESPECT TO THE ACCURACY OR QUALITY OF AUTOMATED STEM SEPARATION OR OTHER AI-BASED PROCESSING.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RADIORAVES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RADIORAVES'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID RADIORAVES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you (e.g., by posting a notice on the Service or emailing the address associated with your account) before the changes take effect. Continued use after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy and DMCA / Copyright Policy, constitute the entire agreement between you and RadioRaves regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
